Welcome to BashBop.com (referred to as "BashBop," "we," "us," or "our"). These Terms of Use (the "Terms") govern your access to and use of all BashBop websites, services, mobile applications, and any content, functionality, or services offered on or through BashBop (the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with all of these Terms, you are prohibited from using the Services.

1. Acceptance of Terms

1. By using our Services, you confirm that you have read, understand, and agree to abide by these Terms as well as our Privacy Policy (collectively, the "Agreements").
2. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility

1. You must be at least 13 years of age (or older if required in your jurisdiction) to use or access our Services. If you are under the age of majority, you must have your parent or guardian's permission to use the Services.
2. By using the Services, you represent and warrant that you meet all the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Services.

3. Changes to Terms

1. We may update these Terms from time to time in our sole discretion.
2. Any changes become effective immediately upon posting the revised Terms on BashBop. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of such changes.

4. User Accounts

1. Account Creation: To access certain features of our Services, you may be required to create an account. You agree to provide accurate and complete information and to keep this information up to date.
2. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use or breach of security.
3. Account Termination: We reserve the right to suspend or terminate your account if we suspect any violation of these Terms or illegal or fraudulent use of the Services.

5. User Conduct

When you use our Services, you agree that you will not:

1. Violate any local, state, national, or international law or regulation.
2. Engage in any activity that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
3. Impersonate any person or entity or misrepresent your affiliation with a person or entity.
4. Transmit viruses, malware, or other harmful code.
5. Collect information about other users without their consent.
6. Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
7. Attempt to gain unauthorized access to the Services, user accounts, or networks connected to the Services.

6. User Content

1. Ownership: You retain any rights to the content that you post, submit, or otherwise make available through the Services ("User Content").
2. License to BashBop: By submitting User Content, you grant BashBop a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, display, reproduce, adapt, publish, and distribute such content in connection with the Services.
3. Content Standards: You are responsible for ensuring that your User Content does not violate any law or the rights of third parties, including intellectual property rights.

7. Intellectual Property Rights

1. BashBop Content: All content, features, and functionality available through the Services (excluding User Content) — such as text, graphics, logos, icons, images, and software — are owned by BashBop or licensed to BashBop and are protected by intellectual property laws.
2. Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use. This license does not grant you the right to reproduce, distribute, modify, or make derivative works of any BashBop content without our express written permission.

8. Payment and Refund Policy

1. Role as a Ticket Broker: BashBop acts solely as a ticket broker and intermediary platform between event organizers ("Event Vendors") and attendees. We facilitate the purchase and sale of tickets but are not the provider of the events themselves.
2. Payment Processing: All payments made through our Services are processed by licensed third-party payment processors. By making a payment, you agree to comply with the terms and conditions of these payment processors as well as these Terms.
3. Currency and Fees: All prices on the Services are listed in the currency specified for each event. BashBop calculates checkout fees based on the event, region, currency, payment provider, and booking details:
   1. Platform Fees: BashBop may charge a service fee for use of the platform. The applicable fee is shown before purchase completion.
   2. Payment Processing: Payments are handled by third-party providers such as Stripe or Paystack. Processing fees vary by provider, currency, payment method, and location.
   3. Subscriptions: Organiser and vendor plan pricing is shown on the pricing page or provided by the BashBop team for contact-us plans.
   4. Premium Features: RSVP Management + Table Seating Bundle at £19.99 one-time payment per event. This unlocks RSVP collection, guest tracking, table assignment tools, and related features for the specific event. Payment is required before publishing events with these features enabled. These fees are non-refundable once the event is published.
   All fees will be clearly displayed before purchase completion.
4. Taxes: Ticket prices may not include applicable taxes, which will be added at checkout where required by law. You are responsible for paying all taxes associated with your purchase.
5. Refunds and Cancellations:
   1. Refund policies are set by Event Vendors, not by BashBop. Each event's specific refund policy will be displayed on the event page before you complete your purchase.
   2. If an event is cancelled by the Event Vendor, you may be entitled to a refund as per the Event Vendor's cancellation policy. BashBop will endeavor to process such refunds promptly once authorized by the Event Vendor.
   3. If an event is rescheduled, your tickets may remain valid for the new date. Should you be unable to attend the rescheduled event, refunds may be available according to the Event Vendor's policy.
   4. Service fees and booking fees may be non-refundable even if the ticket price is refunded, unless required otherwise by applicable law.
   5. BashBop reserves the right to issue refunds at our discretion in exceptional circumstances, even if contrary to an Event Vendor's policy.
6. Subscription Cancellation: Paid organiser, vendor, and other platform subscriptions have a one-month minimum term. After the first month, you may cancel at any time by giving one month's notice. Cancellation stops future renewals after the notice period, and you keep access to paid features until the end of the paid access period. Subscription fees already paid are non-refundable except where required by law.
7. Chargebacks: You agree to contact BashBop before initiating any chargeback with your payment provider. Fraudulent chargebacks may result in account termination and further legal action.
8. Cooling-Off Period: For UK consumers, in accordance with the Consumer Contracts Regulations 2013, you may have the right to cancel your purchase within 14 days without giving any reason. However, this right does not apply to tickets for events on specific dates or for leisure activities, as they are exempt from this regulation.

9. UK Ticket Resale Regulations

1. Compliance with UK Law: BashBop complies with all applicable UK laws and regulations concerning ticket sales and resales, including but not limited to the Consumer Rights Act 2015 and the Digital Economy Act 2017.
2. Information Disclosure: In accordance with UK law, all ticket listings on BashBop will include:
   1. The face value of the ticket;
   2. The seat location or standing area (where applicable);
   3. Any usage restrictions;
   4. The original seller's identity (where required by law);
   5. Any unique ticket identifiers (where required and if available).
3. Bot Prohibition: The use of automated software or "bots" to purchase tickets through our Services is strictly prohibited and may constitute a criminal offense under UK law.
4. Resale Restrictions: Certain tickets may be subject to resale restrictions imposed by the Event Vendor, venue, or applicable law. BashBop will display any such restrictions on the event page, and users are responsible for complying with these restrictions.
5. Secondary Market Transparency: Where BashBop facilitates the resale of tickets, we ensure transparency regarding the nature of the transaction and comply with all requirements under the Consumer Rights Act 2015.

10. Privacy and Data Protection

1. Privacy Policy: Your use of the Services is also governed by our Privacy Policy, which details how we collect, use, and protect your personal information.
2. Data Security: We implement reasonable measures to protect the security of your personal information. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.
3. UK and EU Data Protection: BashBop is committed to complying with the UK Data Protection Act 2018, UK GDPR, and where applicable, the EU General Data Protection Regulation. For UK and EU residents, this includes providing you with rights of access, correction, deletion, and portability of your personal data as detailed in our Privacy Policy.

11. Third-Party Links and Services

1. The Services may contain links to third-party websites or resources that are not owned or controlled by BashBop. We are not responsible for the content, privacy policies, or practices of any third-party websites.
2. You acknowledge and agree that BashBop is not liable for any damage or loss caused by or in connection with the use of such content or services available on or through any third-party site.

12. Event Attendance and Tickets

1. Ticket Validity: BashBop does not guarantee that tickets purchased through our Services will be valid for entry. The ultimate decision regarding entry lies with the venue and/or Event Vendor.
2. Event Changes: Event Vendors reserve the right to change the date, time, venue, or content of events. BashBop is not responsible for such changes but will endeavor to inform purchasers promptly.
3. Resale Prohibition: Some tickets may be subject to terms prohibiting resale or transfer. By purchasing such tickets, you agree to comply with these terms, and failure to do so may result in the tickets being voided without refund.
4. Health and Safety: Event attendees must comply with all health and safety requirements imposed by the venue or Event Vendor, which may include COVID-19 or other infectious disease prevention measures.

13. Digital Content and Virtual Events

1. Access Rights: For virtual events or digital content, purchasers receive a limited, non-transferable right to access the content for personal, non-commercial use, subject to the specific terms of each event.
2. Technical Requirements: Users are responsible for meeting all technical requirements necessary to access virtual events, including but not limited to internet connectivity, compatible devices, and software requirements.
3. Digital Goods Refunds: In accordance with UK consumer law, digital content is generally exempt from the 14-day cooling-off period once download or streaming has commenced. By confirming your purchase and accessing digital content, you acknowledge your right to cancel may be lost.

14. AI-Powered Services

1. AI Features: BashBop uses AI to provide:
   1. Smart vendor recommendations based on your event requirements
   2. Revenue forecasting and market insights for vendors
   3. Content generation assistance for quotes and event descriptions
   4. Enhanced search and discovery functionality
2. Third-Party AI Provider: Our AI features are powered by OpenAI's API services. By using AI-powered features, you agree to comply with OpenAI's Usage Policies in addition to these Terms.
3. Data Processing: To provide AI features, certain data may be processed by OpenAI, including event details, vendor information, and user preferences. Please refer to our Privacy Policy for detailed information about AI data processing.
4. Limitations of AI:
   1. AI-generated content and recommendations are provided for informational purposes only and should not be relied upon as professional advice
   2. AI outputs may contain errors, inaccuracies, or outdated information
   3. BashBop does not guarantee the accuracy, completeness, or reliability of AI-generated content
   4. You are responsible for reviewing and verifying any AI-generated content before use
5. No Automated Decision-Making: While AI assists with recommendations, all final decisions regarding bookings, pricing, and vendor selection are made by users. AI does not make binding decisions on your behalf.
6. User Responsibility: You agree not to use AI features to:
   1. Generate misleading, fraudulent, or harmful content
   2. Circumvent any security measures or platform restrictions
   3. Violate any applicable laws or third-party rights
   4. Reverse engineer or attempt to extract the underlying AI models
7. Opt-Out: You may disable AI-powered features through your account settings. Note that some core functionality may be reduced without AI features enabled.
8. Changes to AI Features: We may modify, suspend, or discontinue AI features at any time without prior notice. We are not liable for any changes to AI functionality.

15. Disclaimers

1. No Warranties: The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, BashBop disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
2. No Guarantee of Accuracy: We do not guarantee the accuracy, completeness, or usefulness of any content, including User Content, on the Services.
3. Operation of Services: BashBop does not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

16. Limitation of Liability

1. Exclusion of Damages: To the fullest extent permitted by law, BashBop and its affiliates, directors, employees, agents, and licensors are not liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
2. Limit on Liability: In no event shall BashBop's aggregate liability for all claims relating to the Services exceed the total amount paid by you to BashBop for the Services in the three (3) months preceding the event giving rise to the liability, or one hundred pounds (£100) if no such payments have been made.
3. Consumer Rights: Nothing in these Terms excludes or limits our liability for:
   1. Death or personal injury caused by our negligence;
   2. Fraud or fraudulent misrepresentation;
   3. Any breach of the obligations implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982;
   4. Any other matter for which it would be illegal for us to exclude or attempt to exclude our liability.

17. Indemnification

You agree to indemnify and hold harmless BashBop, its affiliates, licensors, and Event Vendors, and its and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

18. Termination

1. By BashBop: We reserve the right to suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including violation of these Terms.
2. By You: You may terminate these Terms by ceasing to use the Services.
3. Effect of Termination: Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that, by their nature, should survive termination will survive.

19. Dispute Resolution and Complaints

1. Governing Law: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United Kingdom.
2. Dispute Resolution: You agree to submit to the personal jurisdiction of the courts located in the United Kingdom for any actions arising out of these Terms or your use of the Services.
3. Complaints Procedure: If you have a complaint about BashBop's Services, please contact our customer service team at [email protected]. We aim to respond to all complaints within 14 days.
4. Alternative Dispute Resolution: For UK and EU consumers, online dispute resolution may be available via the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

20. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck, and the remaining provisions shall be enforced to the fullest extent under law.

21. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and BashBop's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

22. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and BashBop regarding the Services and supersede all prior agreements, understandings, or representations, whether written or oral.

23. Audience Broadcasts

The Audience feature lets organisers upload a list of email contacts to a specific event (the "Audience List") and send them branded invite emails on the organiser's behalf. Use of this feature is subject to the following additional terms.

23.1 Per-Event Pricing

Audience access is unlocked per event via a one-off payment tied to a send-quota tier (e.g. 250, 1,500, or 25,000 invite emails). Prices are shown at checkout in GBP. Unused quota is forfeited at the end of the event and does not transfer to another event or account. Upgrades are treated as a fresh purchase: the new tier's full price is charged and its quota replaces the previous quota.

23.2 Acceptable Use — Consent Required

By uploading contacts, you warrant that each recipient has given you permission to send marketing or event-related email, or that you have a documented legitimate interest that satisfies the applicable law in the recipient's jurisdiction (including UK GDPR, EU GDPR, PECR, CAN-SPAM, and equivalents). You may not use Audience for unsolicited bulk email, scraped lists, or purchased lists where individual consent has not been obtained.

23.3 Role Allocation

For Audience List data you upload, you act as the data controller and BashBop acts as a data processor. You are responsible for the accuracy, lawful collection, and lawful basis of the data. We are responsible for delivering, securing, and honouring unsubscribe requests on your behalf.

23.4 Suspension for Abuse

We operate deliverability monitoring (including complaint-rate and bounce-rate thresholds). If your sends trigger abuse reports, high complaint rates, spam-trap hits, or violate these Terms, we may pause or revoke Audience access on the affected event or account without notice. Repeat or serious violations may result in account termination. Unlocks lost to abuse suspension are non-refundable.

23.5 Refunds

Audience unlocks are non-refundable once any invite email has been successfully sent from that event. If you unlock an event, send zero emails, and the event is cancelled, you may request a refund review within 7 days by contacting support; refunds in this scenario are at our discretion.

23.6 Indemnity

You agree to indemnify and hold BashBop harmless from any claims, fines, penalties, or damages arising from your use of the Audience feature, including but not limited to complaints filed with supervisory authorities, breach-of-consent actions, and defamation or impersonation claims from recipients on your Audience List.
