Affiliate Program Terms and Conditions

1. Program Overview

The Bashbop Affiliate Program ("Program") allows registered users ("Affiliates") to earn commissions by referring new users to the Bashbop platform ("Platform"). These Terms and Conditions ("Agreement") govern your participation in the Program and form a legally binding agreement between you and Bashbop Ltd ("Bashbop", "we", "us", or "our").

By enrolling in the Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement, as well as our Terms of Use and Privacy Policy.

2. Eligibility

To participate in the Program, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction.
• Have a registered Bashbop account in good standing.
• Comply with all applicable laws and regulations in your jurisdiction, including tax obligations.
• Not be a current employee, contractor, or immediate family member of a Bashbop employee.
• Provide accurate and complete information during enrollment.

Bashbop reserves the right to reject any application or revoke affiliate status at its sole discretion.

3. Enrollment

Enrollment is completed through the Bashbop dashboard. Upon approval, you will receive a unique referral link and affiliate code. Your participation begins immediately upon enrollment and continues until terminated by either party.

You are responsible for maintaining the confidentiality of your affiliate account and referral link.

4. Referral Links and Tracking

Referrals are tracked using your unique referral link or code. A referral is attributed to you when a new user registers on the Platform using your referral link. The following conditions apply:

• The referred user must be a new user who has not previously registered on Bashbop.
• Self-referrals (referring yourself or your own accounts) are strictly prohibited.
• Referral attribution is determined solely by Bashbop's tracking systems. In the event of a dispute, Bashbop's records shall be considered final.
• Cookie-based tracking may be used. If a referred user clears cookies or uses a different device, the referral may not be tracked.

5. Commission Structure

5.1 Organizer Referrals

When you refer a new event organizer who subsequently sells tickets on the Platform, you will earn a commission of 3% of the net ticket revenue (excluding platform fees, payment processing fees, and applicable taxes) generated by that organizer for a period of 6 months from the date of their registration.

5.2 Vendor Referrals

When you refer a new event vendor who completes KYC (Know Your Customer) verification on the Platform, you will earn a one-time flat fee based on the vendor's operating currency:

Based on your region, the vendor referral fee is $1.25 (USD) per verified vendor.

5.3 Commission Conditions

• Commissions are calculated on completed, non-refunded transactions only.
• If a referred user's transaction is refunded, chargedback, or disputed, the associated commission will be reversed or cancelled.
• Bashbop reserves the right to adjust, withhold, or reclaim commissions in cases of fraud, policy violations, or errors.
• Commission rates may be modified with 30 days' prior written notice to affiliates.

6. Payment Terms

• Commissions transition from "Pending" to "Available" after a holding period of 14 days from the transaction date, to allow for refund windows and fraud checks.
• You may request a payout of your available balance at any time through the affiliate dashboard.
• Payouts are processed via Stripe or Paystack depending on your region, typically within 3-5 business days of the request.
• There is no minimum payout threshold, but payment processing fees may apply as determined by the payment provider.
• You are solely responsible for reporting and paying any taxes owed on commissions earned through the Program.
• Bashbop may request tax documentation (e.g., W-9, W-8BEN, or equivalent) before processing payouts, where required by law.

7. Prohibited Activities

As an affiliate, you agree NOT to:

• Use spam, unsolicited messaging, or bulk communication to promote your referral link.
• Engage in paid advertising that bids on Bashbop's brand name, trademarks, or variations thereof (e.g., "Bashbop", "BashBop", "bash bop") without prior written consent.
• Create fake accounts, use bots, or engage in any form of fraudulent activity to generate referrals.
• Misrepresent Bashbop, its services, pricing, or the affiliate program in any promotional materials.
• Use deceptive techniques such as cookie stuffing, forced clicks, or misleading redirects.
• Promote Bashbop on websites or platforms that contain illegal, harmful, defamatory, or adult content.
• Share your referral link in a way that implies official endorsement, partnership, or employment by Bashbop.
• Incentivize referrals with cash, gift cards, or other financial rewards unless explicitly approved by Bashbop.

Violation of any prohibited activity will result in immediate termination of your affiliate account and forfeiture of any unpaid commissions.

8. Intellectual Property

Bashbop grants you a limited, non-exclusive, non-transferable, revocable licence to use the Bashbop name and logo solely for the purpose of promoting the Platform as part of this Program. You may not:

• Modify, alter, or create derivative works from Bashbop's trademarks or branding.
• Register domain names, social media handles, or accounts containing "Bashbop" or similar variations.
• Imply any official partnership, endorsement, or affiliation beyond your role as an affiliate.

This licence is automatically revoked upon termination of your affiliate status.

9. Termination

• Either party may terminate this Agreement at any time, for any reason, with or without notice.
• You may terminate your participation by contacting Bashbop support or deactivating your affiliate account from the dashboard.
• Bashbop may immediately terminate your account for violation of this Agreement or suspected fraudulent activity.
• Upon termination, any Available balance will be paid out within 30 days, provided no fraud or policy violations are detected. Pending commissions will be forfeited.
• Sections 7 (Prohibited Activities), 8 (Intellectual Property), 10 (Limitation of Liability), and 12 (Governing Law) shall survive termination.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASHBOP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

BASHBOP'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

Bashbop makes no guarantees regarding the amount of commissions you may earn, the number of referrals you may generate, or the continued operation of the Program.

11. Modifications

Bashbop reserves the right to modify this Agreement, commission rates, payment terms, or any aspect of the Program at any time. We will provide at least 30 days' notice for material changes via email or dashboard notification. Your continued participation after the effective date of changes constitutes acceptance of the modified terms.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
